Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “user”) and Shift Happens with Shay Counseling & Wellness, LLC (“Company,” “we,” “us,” or “our”), operating under the trade names Rose & Shift and Shift Happens with Shay. These Terms govern your access to and use of our website (www.shifthappenswithshay.com), online store, workshops, events, podcast, digital resources, and any related non-clinical services (collectively, the “Site” or “Services”).

By accessing or using our Site, you agree that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use immediately.

We may update or modify these Terms at any time. Updates will be posted here with a revised “Last Updated” date. Continued use of our Site after changes are posted constitutes your acceptance of the updated Terms.

Business Scope

We provide:

Digital products: journals, guides, meditations, toolkits, and challenges, sold under the Shift Happens with Shay brand.
Physical products: self-care items such as candles, diffusers, shower steamers, and bath salts, sold under the Rose & Shift name, currently offered in connection with in-person workshops and events.
Workshops/events: virtual and live experiences, tickets, and educational resources.
Podcast & media content: for educational and personal growth purposes.

⚠️ Important: Therapy services are offered separately through Shift Happens with Shay Counseling & Wellness, LLC’s licensed clinical practice and are governed by a separate Informed Consent for Therapy Services agreement. Purchasing products, attending workshops, or listening to content does not establish a therapist–client relationship.

Intellectual Property Rights

All content, logos, brand names, podcast episodes, audio, guides, templates, and product designs (the “Content”) are owned by Shift Happens with Shay Counseling & Wellness, LLC or licensed to us. You may not reproduce, distribute, modify, or sell our Content without express written consent.

You are granted a limited, personal license to use our Site and download purchased materials for your own non-commercial, personal use only.

Payments & Pricing

Payments may be made via major credit cards, PayPal, or other accepted methods listed at checkout.
All prices are in USD and subject to change at any time without notice.
You will be charged at the time of purchase.

Shipping & Fulfillment

Physical products (Rose & Shift) are currently offered in connection with in-person workshops and events rather than as a standalone online store. Fulfillment details, if applicable, will be provided at the time of purchase. We currently fulfill domestically only.

Refunds, Returns & Exchanges

Physical products: All sales are final. If an item arrives damaged or defective, please contact us within 7 days of delivery with photos, and we will work with you to replace or refund.
Digital products: Due to the nature of downloadable and digital items, all sales are non-refundable.
Workshops/events: All ticket sales are final. Tickets may be transferable to another attendee but are non-refundable.

Workshop & Event Terms

Workshops are for educational purposes only and are not a substitute for therapy.
Handouts, recordings, or templates are for personal use only and may not be shared, resold, or redistributed.
We reserve the right to remove any participant for disruptive behavior without refund.

Disclaimers

Self-care products: Use only as directed. Keep away from children and pets. Discontinue use if irritation occurs. We are not responsible for misuse.
Medical disclaimer: Our products are not intended to diagnose, treat, cure, or prevent any medical condition. Consult a healthcare professional before use if you are pregnant, nursing, or have a medical condition.
Educational disclaimer: The podcast, workshops, and resources are for informational and educational purposes only. They do not constitute medical or mental health advice, diagnosis, or treatment.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for any damages, injuries, losses, or claims arising from your use of our Site, products, or Services. Our total liability to you will not exceed the amount paid by you for the product or service in dispute.

Indemnification

You agree to defend, indemnify, and hold harmless Shift Happens with Shay Counseling & Wellness, LLC and its affiliates, owners, and employees from any claims, liabilities, or expenses arising from your use of our Site, products, or Services, or your violation of these Terms.
